What is Modem?

What are you asking? If you're asking what the word 'modem' means then look it up on Google or Wikipedia. This forum is for specific help with Mikrotik products and not a general forum to learn networking. If that isn't what you're asking please explain your question in more detail.

I'm confused.

What does that have to do with a modem and the original post? And what do a bunch of mangle rules have to do with an ISA server?

Just connect the ISA server to a router port, put a common network between them, and use the ISA server as the default gateway in the Mikrotik device routing table.
