i have done all this and still no go. do i have any other options. like can i install it on a CF card or what.
i have also used a fresh install of XP with no extra firewalls added and windows firewall disabled.
Almost the same trouble with RB1100/AH:
I had version 4.17, then at boot time I selected “format nand”, after this I received message “no kernel found”, that didn’t surprise me. Then I selected “boot over ethernet”, netinstall tool detected the device, tried to upgrade it, but I received message “ERROR: could not format partitions”. I tried versions 4.17 and 5.5, I even “upgraded” via console boot loader from version 2.30 to 2.30 and it succeeded. However RouterOS itself can’t be installed with same error as subject.

Try to use Netinstall 4.17 instead of 5.5 - I did it and everytjing gone Ok. However at this moment in download section should be fixed version of Netinstall 5.5
