RouterBoard 2011UiAS-2HnD - cannot do Netinstall!

Hi!
I have 2011UiAS-2HnD for a couple of years. After reboot (last week) i have such problems:
RouterBOOT booter 6.42.1

CPU frequency: 700 MHz
Memory speed: 200 MHz
Memory size: 128 MiB
NAND size: 128 MiB

Press any key within 2 seconds to enter setup

setting up elf image... OK
jumping to kernel code
opendir: No such file or directory
ERROR: no system package found!
Kernel panic - not syncing: Attempted to kill init!
Rebooting in 1 seconds..
I tried to use NetInstall, but program want show my Router/Device while powercycle.I reboot in etherboot mode of course. FW on my workstation is disabled.

Maybe i should try to update firmware via console? - but actually i don't know how :( - there re two options:
Upgrade firmware options:
e - upgrade firmware over ethernet
s - upgrade firmware over serial port
Maybe some DHCP server with tftp and *npk firmware in tftp root dir?

Can anybody help?
